<p><span>Affiniax Legal FZE is looking for an UAE law qualified senior associate to join our legal team in Dubai, and work on a broad variety of interesting legal matters and cross-border transactions.&nbsp;</span></p><p><br></p><p><strong>Responsibilities</strong></p><p><br></p><ul><li>Understanding and addressing client needs and RFPs&nbsp;</li><li>Drafting/reviewing/negotiating commercial contracts (including, but not limited to, loan agreements and related documentation, shareholders’ agreements, subscription agreements, sale and purchase agreements, merger agreements, option agreements, restructuring agreements, escrow agreements etc.)&nbsp;</li><li>Performing legal due diligences&nbsp;</li><li>Drafting/reviewing of memoranda and articles of association and any other relevant private or public corporate documents and records&nbsp;</li><li>Advising on re-domiciliation of overseas companies to relevant UAE free zones, capital reductions, reorganizations&nbsp;</li><li>Issuing legal opinions&nbsp;&nbsp;</li><li>Advise in other areas such as company law, property law, inheritance laws, employment matters, regulatory compliance&nbsp;&nbsp;</li><li>Provide prompt, proactive, practical and business-oriented legal advice&nbsp;</li><li>Participate in the development of best practices, special projects and developing and maintaining templates that comply with company policies and local laws&nbsp;</li><li>Analyze and interpret law, rulings and regulations that affect company and recommend changes accordingly&nbsp;</li><li>Liaise with other consultants&nbsp;</li></ul><p><br></p><p><strong>Qualifications</strong></p><p><br></p><ul><li>Fully qualified lawyer in the UAE&nbsp;</li><li>Minimum 5 years’ experience in a reputable UAE law firm and/ or in-house at a multinational company, with focus on commercial contracts and general legal consulting&nbsp;&nbsp;</li><li>Experience in general corporate, M&amp;A, financing and real estate matters&nbsp;&nbsp;</li><li>Preferably experience in working with international clients&nbsp;&nbsp;</li><li>Experience in multi-jurisdictional transactions and legal matters&nbsp;</li><li>Ability to work well both independently and in a team environment&nbsp;</li><li>Ability to successfully manage multiple priorities and assignments&nbsp;</li><li>Ability to work under pressure and meet demanding deadlines&nbsp;</li><li>Strong organizational skills&nbsp;</li><li>Solutions-oriented thinker with self-initiative and able to interlink both legal and business perspective&nbsp;</li><li>Proactivity, flexibility and willingness to work on a broad variety of matters in a busy environment&nbsp;</li><li>Excellent written and oral communication skills in English, including a clear and concise drafting style&nbsp;</li></ul><p><br></p><p><strong>What we offer</strong></p><p><br></p><ul><li>Competitive salary and bonus incentives&nbsp;</li><li>Hybrid work&nbsp;</li><li>Unlimited opportunities for professional and career growth (including partnership), regular external and internal training;&nbsp;</li><li>The opportunity to become part of an international team of professionals and amazing people creating success stories&nbsp;</li></ul><p>&nbsp;</p>
