ENOWA’s Legal department is responsible for ensuring that this ambitious mission is delivered in compliance with the laws of the Kingdom, while collaborating with the relevant authorities to establish a legal framework for the energy and water sector of NEOM.

We are searching for an experienced lawyer to represent NEOM’s values and protect its interests by providing primary support on corporate matters for the NEOM Energy and Water Company (and its future affiliates) as a legal manager responsible for corporate matters, including corporate governance in close collaboration with entities governance and the secretary of the board. The role, which will be based on the ground at NEOM, requires all manner of corporate governance and legal expertise as this hire will help to broaden the skills offering of an agile and growing team. Leadership skills, strong technical expertise and expert relationship management will be critical for the successful applicant.

Key Accountabilities and Responsibilities

Key Objectives

  • Overseeing and coordinating with multiple key stakeholders, the preparation of presentations for ENOWA’s BOD.
  • Preparation of minutes of meetings of ENOWA’s BOD.
  • Drafting and/or review of shareholders’ resolutions.
  • Advise in the drafting and negotiation of shareholders agreement and related documents for several projects.
  • Coordinating the amendment of ENOWA’s article of association to comply with new Company’s Law.
  • Overseeing the incorporation of an SPVs in the Kingdom for the FDP project.
  • Advising on corporate matters related to incorporation and management of ENOWA’s subsidiaries outside the Kingdom.

Business Advisory     

  • Build relationships with the business teams to become a trusted corporate advisor
  • Provide relevant expertise, professional guidance, training and assurance to key stakeholders, including executives and directors, on a broad range of corporate and governance matters
  • Lead the organization of meetings, preparation of material and record-keeping for relevant matters, including internal and external coordination and stakeholder engagement
  • Respond flexibly to the business’ needs where required to ensure high quality, timely and pragmatic advice
  • Work effectively with outside counsel, serving as a primary internal liaison on relevant corporate matters

Legal Support 

  • Support the legal function by taking the lead on various corporate governance related matters for ENOWA and other NEOM companies, including overseeing the incorporation of companies in the Kingdom or abroad, preparation of articles of association, bylaws, shareholders agreements, JVAs, and all the relevant corporate documents.
  • Provide guidance on corporate governance (particularly compliance with the law of the Kingdom, corporate documents, and internal rules such as DOS, DOA).
  • Engage in drafting and negotiating various types of legal documents.
  • Assist and support others within the legal function by providing advice, training and/or guidance
  • Liaise with multiple stakeholders to address day-to-day legal corporate issues and resolve them quickly and effectively
  • Handle multiple legal workstreams to meet high-pressure deadlines consistently
  • Provide other legal services and advice as needed

Background, Skills

  • Extensive proven experience managing legal projects, including corporate governance matters
  • Deep knowledge of KSA company law
  • Generalist knowledge of commercial contracts and day-to-day legal department issues
  • Excellent drafting and negotiation with strong commercial acumen
  • Excellent understanding of corporate governance matters
  • Exceptional written and verbal communication and critical thinking skills
  • Extensive experience acting as a corporate advisor, advising executives and board directors
  • Ability to influence and collaborate with members of the legal team and business partners
  • Strong analytical skills, solutions oriented and with a practical approach
  • Self-directed with strong initiative, organizational skills, and ability to work well under pressure

Qualifications

  • Relevant technical expertise and law firm or in-house experience in similar role.
  • 5-8+ years of post-qualification experience
  • Superior academic credentials with a law degree from a leading university
  • Admitted to practice law in the Kingdom.
  • Desire to flex into other legal disciplines to provide comprehensive business support if required.
  • Saudi national a plus
  • GCC practice a plus
  • Arabic fluency required.
  • Additional languages a plus.
