We are currently seeking to hire a highly motivated Legal Counsel to join our team in Tunis. As a Legal Counsel you will play a vital role in providing legal guidance and support across various aspects of our business including software licensing agreements, regulatory compliance, data protection, corporate governance etc.</p><p><br></p><p><strong>KEY RESPONSIBILITIES</strong></p><ul><li>Provide legal advice and support on a variety of legal matters, including contracts, intellectual property, data privacy, regulatory compliance, and corporate governance.</li><li>Draft &amp; review software licensing agreements including on-premise and SaaS licenses and provide legal support to the business development team during the negotiation process.</li><li>Review and draft various commercial contracts including NDAs, service agreements, maintenance &amp; support agreements, partnership agreements etc.</li><li>Manage and maintain contract templates ensuring they are up to date and in compliance with relevant laws and regulations.</li><li>Monitor contracts (in collaboration with internal stakeholders) throughout their life cycle and ensure terms are being respected.</li><li>Ensure compliance with industry standards, intellectual property laws and regulations governing software licensing and distribution.</li><li>Develop and implement compliance policies to mitigate potential legal risks associated with the company’s software solutions.</li><li>Contribute to protecting the company’s intellectual property rights by overseeing the management and enforcement of patents, trademarks, trade secrets and copyrights.</li><li>Advise on infringement and other intellectual property-related matters.</li><li>Collaborate with internal stakeholders and cross-functional teams to assess legal risks and provide guidance on legal implications related to business decisions and regulatory issues.</li><li>Provide legal advice and support on general corporate matters including corporate governance, employment law and litigation.</li><li>Conduct legal research and prepare legal opinions, memos, and other documentation as needed.</li><li>Monitor and analyze changes in laws and regulations relevant to the Fintech industry in different jurisdictions, and proactively advise the company on potential impacts.</li><li>Manage and oversee external legal counsel, when required, ensuring effective and cost-efficient legal services.</li><li>Assist with resolution of legal disputes, including overseeing litigation and managing external counsel.</li><li>Conduct legal training and awareness sessions for employees to enhance legal knowledge within the organization.</li></ul><p><br></p><p><strong>CANDIDATE PROFILE &amp; REQUIREMENTS</strong></p><ul><li>Bachelor’s or Master’s degree in law from a leading university.</li><li>Minimum of 4 years of experience as a Legal Counsel or similar role within the Fintech or IT services industry.</li><li>Strong knowledge of software licensing models including both on-premise and SaaS.</li><li>In-depth understanding of Fintech regulations, data protection laws, intellectual property, and corporate governance.</li><li>Experience in drafting and negotiating complex commercial contracts both in English and French.</li><li>Ability to communicate &amp; explain complex legal concepts to both legal and non-legal stakeholders.</li><li>Strong analytical and problem-solving skills.</li><li>Excellent communication and interpersonal skills, with the ability to effectively interact with stakeholders at all levels of the organization.</li><li>Excellent organizational, multi-tasking &amp; time management skills.
