The company was founded on May 29, 1933 and is headquartered in Dhahran, Saudi Arabia.</p> <p><strong>Job Summary</strong></p> <p>We are currently looking for a Business Development Analyst to join our Merger & Acquisition Department. This department is responsible for overseeing and executing M&A transactions that originate from various business lines within the company and are approved by This Company’s corporate management. As a Business Development Analyst, your main responsibilities will involve supporting the screening, planning, analyzing, and developing new business ventures, as well as executing mergers and acquisitions, joint ventures, and divestments at This Company.</p> <p>Your role will entail evaluating transaction proposals and actively managing the execution of these projects. This will include being actively involved in valuation, conducting due diligence, participating in negotiations, and structuring transactions, all leading to the final signing and closing of deals. Your expertise will contribute significantly to the success of our M&A practices and the achievement of our strategic goals.</p> <p><strong>Responsibilities:</strong></p> <ul> <li>Conduct detailed due diligence on target companies with support from relevant organizations in the company</li> <li>Perform valuation of target companies using various methods with support from other organizations in the company</li> <li>Evaluate the business plan of target companies</li> <li>Independently handle business proposals and draft the Non-Binding Offer (NBO)</li> <li>Develop negotiation strategies and commercial terms for transactions and reflect them in the term sheet</li> <li>Negotiate and develop definitive agreements with the help of the law department and other relevant organizations</li> <li>Perform validation activities to progress proposals through stage gates and prioritize business proposals against investment criteria and NBD portfolio strategy</li> <li>Manage all aspects of transaction execution, including selecting, onboarding, and working with advisors</li> <li>Manage overall stakeholder management, including internal organizations, consultants, and potential partners</li> <li>Assemble initial offerings to potential investors and lead investor selection activities</li> <li>Coordinate with This Company subject matter experts to draft Memorandums of Understanding/Letter of Intent</li> <li>Provide administrative direction in the development and review of legal documents, such as head of terms, MoU, cost-sharing agreements, and shareholder agreements</li> <li>Manage business portfolio</li> <li>Ensure compliance with process stage gates and approvals</li> <li>Approve contract payments and variations within limits</li> <li>Provide administrative direction and personnel management to all assigned Business Development Analysts</li> <li>Support law department in anti-trust clearance activities and internal proponent organizations in post-acquisition integration activities</li> <li>Solid understanding of commercial business models in various sectors, such as oil & gas</li> <li>Experience with risk reporting and risk dashboard</li> <li>Understanding of portfolio management principles</li> <li>Solid understanding of accounting fundamentals</li><br></ul> <p><strong>Requirements:</strong></p> <ul> <li><strong>This role required candidate to permanently relocate at Dhahran, Saudi Arabia.</strong></li> <li>Preferred Bachelor’s degree in Accounting, Economics, Business, or Finance from a recognized international program. An MBA or equivalent qualification is a plus but not required.</li> <li>10-15 years of experience in business development, including at least 5 years of M&A transaction execution experience.</li> <li>Possession of certifications like Chartered Financial Analyst (CFA), Certified Management Accountant (CMA), or Project Management Professional (PMP) is advantageous.</li> <li>Target candidates from various sources, including IOCs/NOCs (International/National Oil Companies), corporates, international consulting firms, accounting firms, investment banks, and private equity firms.</li> <li>Strong M&A background with demonstrated experience in financial valuation and modeling, due diligence, commercial negotiations, and transaction structuring.</li> <li>Adequate understanding of financial analysis and valuation methodologies, commercial principles of transactions, and different types of transactions.</li> <li>Industry expertise or knowledge in specific venturing activities such as commercialization, spin-offs, joint venturing, project development, financial valuations and modeling, facilities planning, strategy development, or relevant experience.</li></ul>
