Job Description
JOB PURPOSE:
The incumbent’s primary role will be to provide advisory and manage compliance-related matters for Global Corporate Finance business (“GCF”) to ensure the GCF Business is in compliance with the all applicable rules, regulations and best practice in the United Arab Emirates, and across FAB’s International franchises. The individual will need to have an in-depth understanding of the GCF Business lines (both Private and Public side), including:
Line of Businesses (LoBs):
A. Private Side Businesses:
– Advisory and Equity Capital Markets (A&ECM)
– Debt Capital Markets (DCM)
– Syndication:
– Leverage Acquisition Financing (LAF)
– Loan & Capital Markets (LCM)
– Project Financing (PF)
B. Public side Businesses:
– Security Services
– Custody
– Registrar Services
– Fund Administration
– Loan Agency (LA)
– Loan Portfolio Management (LPM)
The incumbent should also have in-depth knowledge of state regulations and a good understanding of International regulatory best practices.
An in-depth knowledge of regulations, best practices and member obligations relating to:
A. Regulators:
– Securities and Commodities Authority (SCA)
– Central Bank of the UAE (CB UAE)
B. Markets:
– Abu Dhabi Securities Exchange (ADX)
– Dubai Financial Market (DFM)
– Nasdaq Dubai
Knowledge of Dubai Financial Services Authority (DFSA), Financial Services Regulatory Authority (FSRA) and International regulations is a plus. This role is a global role and the jobholder will be responsible for overseeing Compliance advisory for GCF businesses in the international locations where FAB is present.
In addition to providing advisory services, overseeing regulatory submissions, staff accrediation process, conducting validations and reviews, handling inspections and facilitating business on SCA license requirements, the incumbent will also be fully exposed to, and will work with VP & Head of Compliance – Global Corporate Finance on the compliance framework for GCF, which will include providing advice and trainings on financial services related obligations, new license requirements, outsourcing, cross border implications, conflict of interest, wall crossing, KRIs monitoring , systems integration, controls testing, frameworks, governance and protocols across the GCF portfolio, which will also include deals pipeline review of Equity Capital Markets, Debt Capital Markets and Syndication.
Moreover, he/she will work alongside FAB Financial Crime team to ensure compliance of GCF business with procedures pertaining to money laundering, terrorism financing, sanctions and illegal organizations financing in accordance with the relevant legislations.
KEY ACCOUNTABILITIES:
Job Specific Accountabilities
Within the GCF Compliance framework, ensure that risks applicable to the GCF business are adequately addressed, in line with applicable laws, rules and regulations, both domestically and internationally.
Provide regulatory second line of defence assurance, working with counterparts in all lines of defence to provide an end-to-end oversight mechanism.
Build and maintain productive business relationships with business partners across GCF business line.
Provide timely compliance advisory and support to the Global Corporate Finance business which focuses on investment banking advisory engagements and capital markets products and services, including but not limited to origination, structuring, execution and syndication of securities offerings.
Provide compliance advice to the business on regulatory developments from all impacted regulatory jurisdictions, especially with respect to the various Capital Markets Authorities with regulatory jurisdiction covering FAB’s GCF/ business in the GCC and North Africa.
Advise on the rollout and implementation of Group-wide Compliance policies and procedures.
Provide proactive business advice on policy initiatives, projects, new business developments and process improvements.
Act as a main point of contact for the GCF business for any related matter to regulatory reporting, Market Conduct, Conduct of Business, MAR, FCC etc
Liaise with other Compliance teams, including Compliance IB colleagues, International Compliance, Financial Crime Compliance and Regulatory Compliance teams to ensure the business is following the latest regulations and best practice.
In particular, liaise with the Heads of Country Compliance in the countries where FAB holds a licence to do business to ensure that local regulatory requirements and norms are upheld.
Maintain and build an effective relationship with the business so that effective and proactive escalation of issues is achieved and risk managed.
Conduct thematic review of business practice using risk based approach
Assist GCF Business lines to identify and assess their compliance risk and establish KRIs.
Support the GCF/ Business in adherence to Group Compliance policies, procedures and processes and assist business management to ensure fulfilment of its regulatory responsibilities.
Manage Chinese Walls within the GCF Business focusing on wall crossings and any potential conflicts on interest in line Group policy and international best practice.
Participate in key compliance initiatives and monitor Compliance-related projects for GCF business.
Produce and review relevant MI and information prior to submission to Governance Committees and senior management.
Help with any matter related to overall management of the Global Corporate Finance Compliance team.
Execute other duties as directed by the VP & Head of GCF Compliance and/or SVP & Head of IBG Compliance.
The incumbent will need to study CISI exams to keep his/her self updated on the emerging UAE Financial Rules and Regulations.
Qualifications
Minimum Qualification
Bachelor’s degree or higher in a relevant discipline.
Compliance certifications are considered an asset.
Minimum Experience
Minimum of 8 years of experience in a reputed bank or any financial institution.
5 years of experience in Compliance + Certified Anti Money Laundering Specialist (CAMS)
Excellent understanding of regional and international laws and regulations pertaining to Global Corporate Finance.
Strong interpersonal, negotiation and facilitation skills.
Robust project management and administrative skills.
Team player, able to meet tight deadlines and manage challenging workload.
Excellent presentation and project management skills.
Focused on driving tasks to completion with pace, whilst retaining a high level of attention to detail and accuracy.
