Does the idea of creating opportunities for world-class restaurants and chefs to expand internationally excite you?</strong></p><p> </p><p>At TGP International, we are looking for a Legal and Governance Coordinator </p><p><br></p><p><span>Some of the tasks that you will be directly involved in:</span></p><ul><li><span class=”ql-cursor”></span>Draft LOIs, Term Sheets and MOUs</li><li>Draft and file NDA’s</li><li>Draft Consultancy agreements</li><li>Manages the firm’s compliance, regulatory and reputational risks by ensuring adherence to laws, rules and regulations</li><li>To attend and keep accurate records of Board, Board sub-committees and Local Governing Body meetings</li><li>Collating and distributing agendas, minutes, meeting papers and other relevant documentation as required</li><li>Assist with administrative requirements associated with the appointment and resignation of Governors and Trustees, including statutory registers / filings and to monitor terms of office</li><li>To be a point of contact for governors and Trustees in relation to enquires</li><li>Keep track of marketing clauses and TGP’s right to use in internal marketing</li><li>Write letters relating to any legal issues etc.</li><li>Communicating with external advisers such as lawyers, accountants and corporate representatives.</li><li>Liaising and coordinating activity with share registries.</li><li>Overseeing document retention and management</li><li>Knowledge and understanding of safeguarding</li><li>File and keep track of all signed agreements</li><li>Work with our lawyers to apply for trademarks and I.P </li><li>Draft and file rep agreements</li><li>Update Hubspot deals</li><li>Commercial Agreements review such as franchise agreements.</li><li>Employment agreement preparations.</li><li>Debtors Meeting Minute taker and preparation of minutes</li><li>Review and Mark up legal docs to be reviewed by lawyers </li><li>Support Emmet and Daniel with client proposals </li><li>Ad hoc agreements and create templates for future use. </li><li>Update and control the Org chart and ensure all legal documents is in order for the various companies. Such as Shareholder agreements. </li><li>Coordinate with PAS re company formations. Including coordinating with external parties i.e recent Lena Lu co formation with Dubai based lawyers. </li></ul><p><br></p>
