The Board of Directors for PATTIS is seeking a highly organized and detail-oriented professional to serve as our next Board Secretary. In this role, you will be responsible for providing administrative support to the Board of Directors, including preparing and distributing meeting materials, taking minutes, and maintaining Board records. You will also be responsible for coordinating Board committee meetings, as well as special projects as assigned. The ideal candidate will have experience working with Boards of Directors, and will be able to effectively manage competing priorities. He or she will also be a skilled communicator, both verbally and in writing.
Duties & Responsibilities
- Attend all board and committee meetings, taking minutes and distributing meeting materials in advance
- Prepare agendas for board and committee meetings in collaboration with the Chairperson, CEO, and other members as needed
- Maintain complete and accurate records of all board and committee actions, decisions, and votes
- Ensure that all required filings are made with the appropriate regulatory agencies in a timely manner
- Manage the board’s calendar of events, coordinating with staff and outside vendors as necessary to ensure smooth operations
- Serve as the custodian of the corporate seal and all official documents of the company
- Handle correspondence on behalf of the board, including thank-yous, invitations, and other communications
- Process invoices and expenses related to board activities in a timely and efficient manner
- Update and maintain the board’s policies and procedures manual
- Train new board members on their roles and responsibilities, and orient them to the company’s culture, history, and operations
- Perform annual reviews of the board’s performance and effectiveness, making recommendations for improvement as needed
Requirements
Required Skills and Qualifications
- Bachelor’s degree in business, communications, or related field
- 3-5 years of experience in an administrative role
- Excellent written and verbal communication skills
- Superior organizational skills and attention to detail
- Proficiency in Microsoft Office, including Word, Excel, PowerPoint, and Outlook
Preferred Skills and Qualifications
- Experience taking minutes at board meetings
