<p>ADNOC Global Trading LTD (“<strong>AGT</strong>”) seeks a Senior Legal Counsel to join its legal function in Abu Dhabi.</p><p><br></p><p>This is a unique opportunity to join a new and fast-growing international oil trading company, and to be part of its long-term future success.</p><p><br></p><p>Incorporated and based in the Abu Dhabi Global Market, Abu Dhabi’s international financial centre, AGT commenced commercial operations in December 2020. It is owned by ADNOC (65%), Eni (20%) and OMV (15%) and has ambitious plans for global growth. AGT has already established a subsidiary in Singapore and expects to open in Europe and the US in the near future.</p><p><br></p><p>AGT’s business is focused on the physical trading of refined oil products, crude oil, condensate and other liquid feedstocks, risk management activities (including hedging), shipping and chartering, storage and management of inventories, the trading of oil related derivatives and other ancilliary activities.</p><p><br></p><p><br></p><p><br></p><p><strong><u>KEY ACCOUNTABILITIES:</u></strong></p><p>The Senior Legal Counsel will report to the AGT General Counsel.</p><p>The Senior Legal Counsel will be responsible for supporting AGT Asia’s front office and corporate functions and providing legal advice in connection with all aspects of its business, including but not limited to:</p><ul><li>Trade, commercial and supply chain contracts, general terms and conditions, charterparties and shipping documentation;</li><li>Operational issues related to international trade and shipping;</li><li>Exchange-related documentation, brokerage agreements, ISDAs, derivatives activity;</li><li>Corporate, finance and trade finance documentation;</li><li>Strategic projects and transactions;</li><li>Disputes, conflicts, claims, arbitration and litigation;</li><li>Shareholder, board and governance matters;</li><li>Regulatory and compliance;</li><li>Compliance with applicable sanctions regimes;</li><li>Risk management;</li><li>Supporting the Human Capital function and advising as needed on employment law issues.</li></ul><p><strong> </strong></p><p><br></p><p><br></p><p><strong>The Senior Legal Counsel will also be expected to:</strong></p><ul><li>Demonstrate leadership, good judgement and professional maturity, and possess a strong executive presence;</li><li>Be practical, strategic, self-assured and commercially focused, working with highly motivated and demanding clients to provide timely and common sense legal support and solutions;</li><li>Show impeccable integrity and a strong appreciation of compliance, regulatory, governance and risk management issues;</li><li>Help to establish a professional and respectful office culture;</li><li>Display a team-oriented, positive and collaborative personality;</li><li>Engage, manage and oversee the work of external law firms as required;</li><li>Support the work of the Board Secretary;</li><li>Assist with the design and implementation of policies, standards, guidelines, processes and procedures in line with applicable laws and international standards and best practices;</li><li>Advise on legal developments applicable to the business and the industry, and support the roll out of awareness training and briefings where necessary;</li><li>Support the establishment by AGT of overseas subsidiaries and assist with the build out of those offices.</li></ul><p><br></p><p><br></p><p><br></p><p><strong><u>QUALIFICATIONS, EXPERIENCE, KNOWLEDGE & SKILLS: </u></strong></p><ul><li>7-12 years+ PQE</li><li>Strong academic background. LLB law degree or equivalent</li><li>Admitted to practice in a common law jurisdiction – eg England & Wales, Australia, Singapore, Hong Kong.</li><li>Private practice experience with leading law firm(s)</li><li>Ideally some in-house experience</li><li>Expertise in oil trading, commodities and shipping</li><li>Excellent English language skills (written and spoken).</li></ul>
